On October 30th, Voting Members of the Radio Malaspina Society met for their 27th Annual General Meeting. At this meeting, five new directors were elected to the board, and all five proposed Special Resolutions were passed.
The following directors were elected:
Student Members: Maggie MacLachlan and Benjamin Ataie.
Community Member: Jack Corfield and Laura Schramm.
VIU Representative: Craig Taylor.
They join Robert Thompson, Frankie Spear Beauchamp, Daniela Guevara Sotomayor, and Bryan Gibbons who are directors in the middle of their terms.
The board will determine officer roles at their next board meeting.
Special thanks to Janel Jezierski (Community Member), Jay Mcdonnell (Student Member), and Robin Davies (VIU Representaive) whose terms ended.
Special Resolutions
Below are the special resolutions that passed via super-majority (75%) vote.

WHEREAS
We seek to update our Membership Fee bylaws for clarity.
THEREFORE
Be it resolved that bylaw 3.1.1: “A fee of not less than $1.13 (set by referendum of students) per month per member applicable to the months in which they are students at Nanaimo Campus of Vancouver Island University. Fees are collected by the Student Union from the Vancouver Island University, and remitted to the Radio Malaspina Society.”
Be amended to: “For Student Members: A fee of not less than $1.80 (set by referendum of students) per month per member applicable to the months in which they are students at Nanaimo Campus of Vancouver Island University. Fees are collected by the Student Union from the Vancouver Island University, and remitted to the Radio Malaspina Society.”
AND
Be it further resolved that bylaw 3.1.2.: “The annual membership fee for the following year for members of the greater community shall be set by the Board of Directors at its first meeting after the AGM. The amount of that membership fee shall not be less than $30.00”
Be amended to: “For Community Members: An annual membership fee of not less than $30. This fee shall be set by the Board of Directors at their first meeting after the Annual General Meeting.”

WHEREAS
A “month” is an ambiguous amount of time, and this change lines this bylaw up with 2.4.1 on Community Members as Voting Members.
THEREFORE
Be it resolved that bylaw 5.6.1: “In order to be eligible to run for a position on the Board of Directors a candidate must be a member of the Radio Malaspina Society for a minimum of one (1) month prior to the time of the elections”
Be amended to: “In order to be eligible to run for a position on the Board of Directors a candidate must be a member of the Radio Malaspina Society for a minimum of 30 days prior to the time of the elections.”

WHEREAS
We seek to clarify what membership type pays what membership fee:
THEREFORE
Be it resolved that bylaw 2.1.1: “Any members of the community at large who have completed the membership application and paid the prescribed membership fees to the Society (“Community Members”).”
Be amended to: “Any members of the community at large who have completed the membership application and paid the prescribed membership fee in bylaw 3 to the Society (“Community Members”).”
AND
Be it further resolved that bylaw 2.1.2: “All students who are registered in at least one credit course at Vancouver Island University (Nanaimo Campus), for the current or previous semester (“Student Members”).”
Be amended to: “All students who are registered in at least one credit course at Vancouver Island University (Nanaimo Campus), paying at minimum the fee in bylaw 3, for the current or previous semester (“Student Members”).”

WHEREAS
We seek to add a third membership category for VIU Members to ease the process of finding VIU Representatives to serve on our board of directors.
THEREFORE
Be it resolved that the following be adopted as bylaw 2.1.3: “Up to four people employed at Vancouver Island University as faculty, staff, or administration may be appointed by the society’s Board of Directors (“VIU Members”)”.
AND
Be it further resolved that bylaw 2.4.2 be amended from:
“All Student Members shall be Voting Members.”
To:
“All Student Members and VIU Members shall be Voting Members.”
AND
Be it further resolved that bylaw 5.2 be amended from: “Four seats of the Board of Directors will be reserved for student members, four seats for community members as defined in Bylaw 2, and two seats will be reserved for faculty or administrative representatives from Vancouver Island University.”
To: “Four seats of the Board of Directors will be reserved for Student Members as “Student Board Members”, four seats for Community Members as “Community Board Members”, and two seats will be reserved for VIU Members as “VIU Representatives”.
AND
Be it further resolved that the following be adopted as bylaw 5.6.3.: “VIU Members are exempt from bylaw 5.6.1”

Dependency: Special Resolution 4: VIU Members and VIU Representatives must pass in order for this to be voted on.
WHEREAS
We should clarify membership terms, member standing, and member termination (for not renewing membership) in our bylaws, rather than policy.
THEREFORE
Be it resolved that the following be bylaws be adopted:
Bylaw 2.5: “Term of Membership”, Bylaw 2.6: “Membership not in good standing”, Bylaw 2.7: “Termination of membership if member not in good standing”
AND
Be it further resolved that the following be adopted as bylaw 2.5.1: “Community Members and VIU Members term of membership ends at the completion of the Society’s fiscal year (bylaw 9.4.1). Student Members term of membership runs one semester following the semester they are enrolled in and have paid fees for.”
AND
Be it further resolved that the following be adopted as bylaw 2.6.1: “A member is not in good standing if the member fails to pay the member's membership dues, if any, prescribed in bylaw 2.1, and the member is not in good standing for so long as those dues remain unpaid.”
AND
Be it further resolved that the following be adopted as bylaw 2.7.1: “A person's membership in the Society is terminated if the person is not in good standing for 6 consecutive months.”
AND
That bylaw 2.2.4: “All members are in good standing except a member who has failed to pay his or her current annual membership fee, or any other subscription or debt due and owing by the member to the society, and the member is not in good standing so long as the debt remains unpaid.” be removed.
